Item 9. Other Events
On March 6, 2026, Greenlite Holdings, Inc. (the “Company”) executed an Amended and Restated Certificate of Incorporation (the “Amended and Restated Certificate”) that was previously filed with the Securities and Exchange Commission as Exhibit 2.2 to the Company’s Form 1-A filed on May 29, 2026.
The Company has identified a drafting error in the Amended and Restated Certificate and filed a Certificate of Correction with the Secretary of State of the State of Delaware to correct such error. The Certificate of Correction is attached hereto as Exhibit 2.4.
