Explanatory Note:
On August 31, 2026, the Board of Directors of Dogness (International) Corporation (the “Company”), upon the recommendation of the Compensation Committee, approved an amendment to the employment agreement of Mr. Silong Chen, the Company’s Chairman and Chief Executive Officer, to reflect a voluntary reduction in his monthly base compensation. Effective September 1, 2026, Mr. Chen’s monthly base compensation will be reduced from $10,000 to $5,000.
A copy of the amendment to the employment agreement is attached as Exhibit 4.1 to this report and is incorporated herein by reference. On September 4, 2026, the Company issued a press release announcing the amendment. A copy of the press release is attached as Exhibit 99.1 hereto and incorporated herein by reference.
