Receipt of Nasdaq Minimum Bid Price Notification
On September 2, 2026, Black Titan Corporation (the “Company”) received a letter (the “Notice”) from the Listing Qualifications Department (the “Staff”) of The Nasdaq Stock Market LLC (“Nasdaq”) notifying the Company that, based on the closing bid price of the Company’s ordinary shares for the last 30 consecutive business days prior to the date of the Notice, the Company no longer meets the minimum bid price of $1.00 per share required for continued listing on The Nasdaq Capital Market under Nasdaq Listing Rule 5550(a)(2). The Notice has no immediate effect on the listing or trading of the Company’s ordinary shares on The Nasdaq Capital Market.
In accordance with Nasdaq Listing Rule 5810(c)(3), the Staff has provided the Company with 180 calendar days, or until March 1, 2027, to regain compliance with the minimum bid price requirement. To regain compliance, the closing bid price of the Company’s ordinary shares must be at least $1.00 per share for a minimum of 10 consecutive business days during the compliance period. If the Company regains compliance with the Nasdaq rule, the Staff will provide written confirmation to the Company and close the matter.
In the event the Company does not regain compliance by March 1, 2027, the Company may be eligible for an additional 180 calendar day compliance period, subject to its meeting certain conditions.
