Explanatory Note

Idea Tech Holding Limited (the “Company”) is a foreign private issuer as defined in Rule 3b-4 under the Securities Exchange Act of 1934, as amended (the “Exchange Act”). The Company’s registration statement (the “Registration Statement”) on Form F-1 (File No. 333-289411), initially filed by the Company with the U.S. Securities and Exchange Commission (the “Commission”) on August 8, 2025, was declared effective on September 30, 2025, and was declared effective on a post-effective basis on November 28, 2025. No securities have been sold pursuant to the Registration Statement, and the offering contemplated thereby has not been consummated. The Company has not registered any class of its securities under Section 12(b) or Section 12(g) of the Exchange Act, and no class of the Company’s securities is listed on any national securities exchange. The Company’s reporting obligations arise solely under Section 15(d) of the Exchange Act. As of the filing date, Idea Tech Holding Limited is current in its Exchange Act reporting.
