Item 8.01

Other Events.

Market Value of Listed Securities

As previously disclosed, on March 13, 2026, CalciMedica, Inc. (the “Company”) received notice (the “Notice”) from the Nasdaq Listing Qualifications Department (the “Staff”) of The Nasdaq Stock Market LLC (“Nasdaq”) that the Company was not in compliance with Nasdaq’s Listing Rule 5550(b)(2), as the market value of listed securities (the “MVLS Requirement”) for the Company’s common stock had been below the minimum MVLS Requirement of $35,000,000 for the last 30 consecutive business days. Under Nasdaq Listing Rule 5810(c)(3)(C), the Company had 180 calendar days following the date of the notice, or until September 9, 2026, to regain compliance.

On August 31, 2026, the Company received a letter from the Staff stating that, based on the Company’s Quarterly Report on Form 10-Q for the quarter ended June 30, 2026, which reported stockholders’ equity of $5,513,000, and the Company’s submissions to the Staff, the Staff determined that the Company complies with the alternative minimum stockholders’ equity requirement set forth under Nasdaq Listing Rule 5550(b)(1). Accordingly, the Notice and the Company’s non-compliance with the MVLS Requirement is now closed.

Minimum Bid Price

As previously disclosed, on March 16, 2026, the Company received a notice from the Staff that the Company was not in compliance with Nasdaq’s Listing Rule 5550(a)(2), as the minimum bid price of the Company’s common stock had been below $1.00 per share for 30 consecutive business days (the “Minimum Bid Price Requirement”). The Company has not yet regained compliance with the Minimum Bid Price Requirement and has 180 calendar days following the date of the notice, or until September 14, 2026, to regain compliance with the Minimum Bid Price Requirement. As previously disclosed, at 5:00 p.m. (Eastern Time) on August 28, 2026, the Company implemented a one-for-five reverse stock split of its outstanding common stock.

There can be no assurance that the Company will be able to regain compliance with the Minimum Bid Price Requirement or otherwise maintain compliance with the other listing requirements.
