This form is being made to clarify that as of January 12, 2026, both TDK Cashflow Ltd. (as direct owner) and Trevor Koverko (indirect ownership as sole shareholder of TDK Cashflow Ltd.) beneficially owned greater than 10% of the outstanding common stock of Vertical Data Inc. The original Form 3, which was made on May 11, 2026, inadvertently failed to disclose that TDK Cashflow Ltd. was also a beneficial owner of the common shares (through direct ownership).
