Item 5.02.Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On August 31, 2026:

 

John Bientjes resigned as a director of the Company and as the chairman of the Company’s audit committee.

 

Dr. Kim Reid was appointed a director of the Company and as a member of the Company’s audit committee.

 

Davis Fynn was appointed as a chairman of the audit committee.

 

The resignation of Mr. Bientjes was not due to any disagreement on any matter relating to the Company’s operations, policies, or practices.

 

Item 8.01Other Events

 

On August 31, 2026, the Company issued a press release announcing the resignation of Mr. Bientjes as a director and the appointment of Mr. Reid as a director.
