Note 15     COMMON STOCK

 

The Company is authorized to issue 200,000,000 shares of common stock with a par value of $0.001 per share. As of December 31, 2025 and 2024, 481,121 shares and 468,251 shares, respectively, were issued and outstanding. All share amounts presented herein reflect the 1-for-30 reverse stock split effected on July 6, 2026, which did not change the number of authorized shares or the par value per share.

 

Recent Issuance of Common Stock

 

  · In February 2025, a shareholder exercised 300,000 shares of warrant in exchange of 6,667 shares of common stock.
  · In May 2025, a shareholder exercised 180,000 shares of warrant in exchange of 4,000 shares of common stock.
  · In October and November 2025, a shareholder exercised 3,039 shares of warrant in exchange of 203 shares of common stock.
  · In December 2025, a convertible notes holder converted $45,319 of convertible note in exchange of 2,000 shares of common stock.

 

*Warrants and convertible notes in exchange of common stock for all periods presented have been retroactively adjusted to reflect the 1-for-30 reverse stock split effected on July 6, 2026.
