Item 8.01 Other Events

 

On August 25, 2026, Bion Environmental Technologies, Inc. (“Bion”) executed a Settlement and Mutual Release Agreement with North Prairie Holdings, LLC, the landlord of the real property in Newton County, Indiana on which Bion's Ammonia Recovery System demonstration facility at Fair Oaks is located, together with a related convertible promissory note issued by Bion Group in the initial principal amount of $162,500.00. The Settlement Agreement and Note are attached as exhibits hereto, and reference is made to those exhibits for a complete description of their respective terms.
