Estimated solely for the purpose of calculating the registration fee pursuant to Rule 457(c) and Rule 457(f)(1) under the Securities Act, the proposed maximum aggregate offering price of the securities being registered was calculated as the product obtained by multiplying (i) $5.9925, the average of the high and low sales prices per Cadeler ADS on August 20, 2026, as reported by the New York Stock Exchange, divided by four, the Cadeler Share-to-ADS ratio, and (ii) 386,053,341, the estimated maximum number of Cadeler Shares (including Cadeler Shares represented by Cadeler ADSs) that may be exchanged in the offer described herein. In accordance with Rule 416, this Registration Statement also covers an indeterminate number of additional NewCo Shares as may be issuable as a result of stock splits, stock dividends or similar transactions. |
