Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(b) On August 26, 2026, Helena B. Foulkes notified the Board of Directors (the “Board”) of Skillsoft Corp. (“Skillsoft”) of her resignation from the Board and all committees of the Board of which she is a member, effective August 31, 2026.
Ms. Foulkes has served on the Board since June 2021 and was a member of the Audit Committee; Talent and Compensation Committee; and Nominating and Governance Committee.
Ms. Foulkes’ resignation did not result from any disagreement with Skillsoft or its management on any matter relating to Skillsoft’s financials, operations, policies or practices.
