Note 10 – Subsequent Events

The Company evaluated subsequent events and transactions that occurred after the balance sheet date up to the date the unaudited consolidated financial statements were issued. Based upon the review, the Company did not identify other subsequent events that would have required adjustment or disclosure in the financial statement except those have been disclosed elsewhere in the notes to the unaudited consolidated financial statements and the following:

Subsequent drawdown of the Sponsor loan and the promissory note

Subsequent to June 30, 2026, in addition to the monthly admin service fee charged by the Sponsor which is recorded under the “Accrued expenses and other liability”, the Sponsor paid a total of $142,118 operating expenses on behalf of the Company.

In August 2026, the Sponsor deposited total amounts of $245,000 into its Trust account for its seven months’ extension fees from March to September 2026.
