Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
Name Change and Stock Symbol Change
Senmiao Technology Limited. (the “Company”) is following the corporate procedures under its amended articles of incorporation to change its legal name from “Senmiao Technology Ltd.” to “Valor Energy Inc” (the “Name Change”). Because the amendment consists solely of a change in the Company’s name, stockholder approval was not required pursuant to Nevada Revised Statutes 78.385 and 78.390 (the “NRS”). On August 7, 2026, the board of directors (the “Board”) passed a resolution to approve name change and the filing of certificate of amendment to the articles of incorporation. On August 18, 2026, the Company filed a certificate of amendment reflecting the Name Change with the Secretary of State of the State of Nevada. The Company has also requested that, effective at the opening of trading on August 26, 2026, its common stock begin trading on the Nasdaq Capital Market under the new corporate name and the new trading symbol “VAI,” replacing its current trading symbol “AIHS,” subject to final processing and confirmation by Nasdaq. The Company’s CUSIP will not change in connection with the Name Change and trading symbol change and will remain as 817225303.
