On August 25, 2026, Nayax Ltd. (the “Company”) issued a press release titled “Nayax Enters into Definitive Agreement to Acquire IPS Group, a Leading Smart Parking Technology Provider”. A copy of the press release is filed as Exhibit 99.1 hereto.
