Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On August 25, 2026, Kohl’s Corporation (the “Company” or “Kohl’s”) announced executive leadership changes and organizational realignments related to the creation of a new Chief Customer Officer role. In connection with these changes, Christie Raymond’s position as Chief Marketing Officer was eliminated, and her employment with the Company will end effective September 9, 2026. Ms. Raymond is entitled to receive separation benefits in accordance with the terms of the Amended and Restated Executive Compensation Agreement, dated August 16, 2022, between Kohl’s, Inc. and Ms. Raymond.

 

On August 25, 2026, the Company announced the promotion of Arianne Parisi to Senior Executive Vice President, Chief Customer Officer, and designated Ms. Parisi as an executive officer of the Company, effective September 1, 2026. In this newly created role, Ms. Parisi will lead the omnichannel customer experience across marketing, brand and creative, loyalty, personalization, media, and digital commerce, including Kohls.com and the Kohl's App. Ms. Parisi has served as Executive Vice President, Chief Digital Officer of the Company since July 2025. Prior to joining Kohl’s, Ms. Parisi served as Global Chief Digital Officer at JD Sports Fashion. Earlier in her career, Ms. Parisi held senior digital leadership roles at The Finish Line and Nordstrom, as well as merchandising roles at The Sports Authority. Ms. Parisi has more than twenty years of experience in the retail industry.
