Item 8.01 Other Events.
On August 20, 2026, Aveanna Healthcare Holdings Inc. (the “Company”) entered into an underwriting agreement (the “Underwriting Agreement”) by and among the Company, certain selling stockholders (the “Selling Stockholders”), including affiliates of J.H. Whitney Equity Partners VII, LLC and certain current and former directors and officers of the Company, and RBC Capital Markets, LLC (the “Underwriter”) with respect to the offer and sale by the Selling Stockholders (the “Secondary Offering”) of 15,000,000 shares of the Company’s common stock, par value $0.01 per share (the “Common Stock”) at a public offering price of $11.75 per share. In addition, the Selling Stockholders granted the Underwriter a 30-day option to purchase up to an additional 2,250,000 shares of the Company’s Common Stock. The Secondary Offering closed on August 24, 2026. The Company did not issue or sell any Common Stock in the Secondary Offering and did not receive any proceeds from the Secondary Offering.
