Item 8.01 Other Events.
BOXABL Inc. (the “Company”) was unable to file its Quarterly Report on Form 10-Q for the quarter ended June 30, 2026 (the “Form 10-Q”) by the required filing deadline due to the complexities of the accounting treatment for its OTC Equity Prepaid Forward Transaction (“FPA”).
The valuation of the FPA involves significant judgment and complex valuation inputs, including estimates of stock price volatility and other assumptions. Additional time was required to complete the valuation procedures and review of the related accounting and financial statement disclosures. The Company intends to file its Form 10-Q, as soon as reasonably practicable following the completion of its valuation procedures and review process.
