("Cox Parent"), Cox Communications Equity Holdings, Inc. ("Cox NewCo") and A/N (the "Third Amended and Restated Stockholders Agreement") (as further described in Item 6 to this Schedule 13D/A) contains provisions relating to the ownership and voting by the Reporting Persons in respect of their A/N Notional Shares (as defined below).
