RELATED PARTY TRANSACTIONS On April 26, 2026, the Company entered a privately negotiated transaction to repurchase shares of its common stock from a member of the Company's Board of Directors and certain members of the director's immediate family. The aggregate purchase price was $60.2 million for 1,279,870 shares. The transaction was reviewed and approved by the disinterested members of the Board of Directors in accordance with the Company's related party transaction policy. No amounts remained outstanding related to the transaction of June 30, 2026. |
