Preferred stock, voting rights The Series C Preferred Stock automatically converts upon the completion of a qualified equity financing resulting in gross proceeds of at least $15 million. Upon such conversion, the Series C Preferred Stock will convert into common shares representing 59.6% of the Company’s outstanding common shares, after giving effect to shares issued or issuable in connection with the financing. If a qualified financing has not occurred by March 31, 2028, each Series C Preferred share becomes convertible, at the holder’s option, into ten common shares, subject to customary adjustments.
