The Company engages in transactions with entities affiliated with James Ballengee, the Company’s Chief Executive Officer and principal shareholder, in the ordinary course of business. The Company is party to various commercial agreements with White Claw Crude, LLC (“WC Crude”), Jorgan Development, LLC (“Jorgan”), and other affiliated entities, including storage, throughput, transportation, and supply agreements.
Revenue from related parties was $5.6 million and $11.0 million for the three and six months ended June 30, 2026, respectively, compared with $8.1 million and $12.7 million for the three and six months ended June 30, 2025, respectively.
As of June 30, 2026 and December 31, 2025, accounts receivable from related parties were approximately $10.7 million and $1.4 million, respectively. During the six months ended June 30, 2026, amounts due under related-party commercial agreements were offset against amounts payable to Jorgan pursuant to existing offset arrangements between the parties.
The Company also has certain debt and lease arrangements with entities affiliated with its Chief Executive Officer, as further described elsewhere in these condensed consolidated financial statements.
