Description and Organization
Boost Run Inc. (the “Company” or “Boost Run”) is a Delaware corporation and the successor reporting entity to Boost Run Holdings, LLC. The Company provides high-performance computing infrastructure through bare metal Graphics Processing Unit (“GPU”) servers hosted in top-tier certified data centers. Through its Infrastructure as Code (“IaC”) automation platform, the Company enables customers to access scalable and secure computing resources for artificial intelligence (“AI”), machine learning, large language models (“LLMs”), generative AI, and other high-performance computing workloads.
On May 8, 2026, the Company completed a business combination with Willow Lane Acquisition Corp. (“WLAC”), a special purpose acquisition company (“SPAC”), and became a publicly traded company. As discussed further in Note 2 – Business Combination, the transaction was accounted for as a reverse recapitalization, with Boost Run Holdings, LLC determined to be the accounting acquirer and WLAC determined to be the accounting acquiree. Accordingly, the historical financial statements of Boost Run Holdings, LLC became the historical financial statements of the Company. Unless otherwise indicated, references to the “Company” refer to the combined company after the Closing.
Basis of Presentation
The accompanying interim condensed consolidated financial statements have been prepared in accordance with GAAP and applicable rules and regulations of the U.S. Securities and Exchange Commission (“SEC”). Any reference in these notes to applicable guidance is meant to refer to U.S. GAAP, as found in the Accounting Standards Codification (“ASC”) and Accounting Standards Updates (“ASUs”) of the FASB.
The interim condensed consolidated financial statements as of June 30, 2026 and for the three and six months ended June 30, 2026 and 2025, in the opinion of management, include all adjustments, consisting of normal recurring items, to present fairly our financial position, results of operations, and cash flows. Our operating results for the three and six months ended June 30, 2026 are not necessarily indicative of the results to be expected for the full year. The interim condensed consolidated financial statements and related notes as of and for the three and six months ended June 30, 2026 have been prepared on the same basis as and should be read in conjunction with the consolidated financial statements for the year ended December 31, 2025. Certain information and footnote disclosures normally included in financial statements prepared in accordance with U.S. GAAP have been condensed or omitted pursuant to the rules of the SEC. The Company believes the disclosures made are adequate to keep the information presented from being misleading.
Principles of Consolidation
The accompanying interim condensed consolidated financial statements include the accounts of Boost Run Inc. and its wholly owned subsidiaries, including Boost Run Holdings, LLC and Willow Lane Acquisition Corp. (“Willow Lane”) (collectively, the “Company”). All intercompany balances and transactions have been eliminated in consolidation.
Reclassification of Prior Year Amounts
Certain amounts in the prior year balance sheet have been reclassified to conform to the current year presentation. Specifically, the Company separately presents customer deposits, current as its own line item on the balance sheet, whereas in the prior year these amounts were included within accrued expenses and other liabilities, current. As of December 31, 2025, $15,426 of customer deposits has been reclassified out of accrued expenses and other liabilities, current and presented separately as customer deposits, current. This reclassification had no effect on previously reported total liabilities, total stockholders’ equity, net income, or cash flows for any period presented.
