The Company is withdrawing its election under section 54(a) of the Act based on the following basis:

The Company will not be distributing any assets to its securities holders because it currently has liabilities in excess of assets. It is currently in the process of winding up its affairs. Furthermore, the liquidation of the company is not part of a merger.

Information contained in the Company’s Form 8-K, filed on August 18, 2026, is hereby incorporated by reference.
