The Registrant could not complete the filing of its Quarterly Report on Form 10-Q for the quarter ended June 30, 2026 due to a delay in obtaining and compiling information required to be included in its Form 10-Q, which delay could not be eliminated by the Registrant without unreasonable effort and expense. In accordance with Rule 12b-25 of the Securities Exchange Act of 1934, the Registrant will file its Form 10-Q no later than the fifth calendar day following the prescribed due date.

During the three and six months ended June 30, 2026, the Company reported revenues of $276,218 and $903,680, respectively (2025 - $231,608 and $566,927, respectively). The increase from the prior-year comparable periods was primarily driven by higher cannabis sales volumes, including increased sales to existing customers.

 

During the three and six months ended June 30, 2026, the Company reported a gross loss of $138,446 and $547,899, respectively (2025 - $621,210 and $1,123,817, respectively). The decrease from the prior-year comparable periods was primarily due to increased revenue and lower inventory impairment charges.
