Item 8.01 Other Events.

 

On August 13, 2026, Aureus Greenway Holdings Inc. (the “Company”) and Autonomous Power Corporation (d/b/a Powerus) (“Powerus”) issued a joint press release announcing that the registration statement on Form S-4 filed by the Company with the U.S. Securities and Exchange Commission (the “SEC”) in connection with the proposed business combination between the Company and Powerus was declared effective by the SEC on August 12, 2026. A copy of the joint press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
