During the year ended December 31, 2025, the Corporation entered into a contract with a supplier for the purchase of various high-performance computers in connection with the Tier III AI project. Under the terms of the agreement, payments are due upon shipment of the equipment. The Corporation has made payments of $14,584,582 under this agreement. As of June 30, 2026, no liability has been recorded related to this commitment, as the goods had not yet been received and the payment was not yet due. The Corporation has a commitment to pay the remaining amount of $1,145,000.
On May 4, 2026, the Corporation entered into a ten-year data center colocation and master services agreement with Cerebras Systems Inc. Under the terms of the agreement, the Corporation is obligated, at its sole cost and expense, to construct, commission, and operate a purpose-built Tier III facility in Columbiana, Alabama delivering up to 40 MW of IT load, comprising Phase 1 (15 MW) and a conditional Phase 2 (25 MW). In exchange, the Corporation will receive a fixed, take-or-pay colocation fee of $195.00 per kW per month (approximately $2,925,000 and $4,875,000 per month for Phase 1 and Phase 2, respectively), escalating 3.0% annually over the term. As at June 30, 2026, the facility remained under construction and not ready for use. |
