Note 4. Offering Costs

The Company has and may continue to bear expenses relating to the offering of its Common Stock, including any listing of its Common Stock on a national securities exchange. Offering expenses include, without limitation, legal, accounting, printing and other offering costs including those associated with the preparation of a registration statement in connection with any offering of Common Stock.

For the three and six months ended June 30, 2026, the Company incurred offering costs of $14 and $26, respectively. For the three and six months ended June 30, 2025, the Company incurred offering costs of $11 and $23, respectively. As of both June 30, 2026 and December 31, 2025, there was no balance payable on the Consolidated Statements of Assets and Liabilities for offering expenses payable.
