NOTE 5 – NOTES PAYABLE - OTHER

 

Notes Payable - Other as of June 30, 2026 and December 31, 2025, net of debt discount, were $1,273,022 and $0. Interest accrued on these notes payable ranges from 6% to 12%. As of June 30, 2026 and December 31, 2025 accrued interest on these notes was $7,478 and $0. Interest expense recognized for the three and six months ended June 30, 2026 was $6,366 and $7,478 and for the three and six months ended June 30, 2025 was $0 and $0. These loans are unsecured and have a repayment term of 30 days.

 

During the three months ended June 30, 2026, the Company entered into agreements with noteholders to issue aggregate notes payable-other of $1,160,000 and issued two-year options to purchase 655,000 shares of the Company's common stock at an exercise price of $0.90 per share. The notes bore interest ranging from 7% to 12% per annum, were unsecured, and had contractual maturities between 10 to 30 days. The options were valued using the Black-Scholes option pricing model with the following assumptions: no dividend yield, expected volatility ranging from 92.8% to 100.3%, risk-free interest rates ranging from 3.76% to 4.15%, and an expected term of two years. Based on the relative fair value allocation, $148,635 was allocated to the options and recorded as a debt discount on the related notes payable. The debt discount is amortized to interest expense over the contractual term of the notes using the effective interest method. During the three and six months ended June 30, 2026, the Company recognized $111,656 of debt discount amortization as interest expense. As of June 30, 2026, the remaining unamortized debt discount related to these notes was $36,978.

 

As of June 30, 2026, notes with an aggregate principal balance of approximately $1,265,000 were outstanding beyond their contractual maturity dates. Management represented that the Company and the respective noteholders had verbally agreed to extend the repayment dates; however, no formal written amendments had been executed as of June 30, 2026. These notes remained classified as current liabilities.
