COMMITMENTS AND CONTINGENCIES COMMITMENTS AND CONTINGENCIES
From time to time, the Company is involved in various claims and legal actions. These matters include, but are
not limited to, claims arising from the operation of rented equipment, workers' compensation claims, and alleged
breaches of obligations of certain employees to former employers. Management believes that such claims and legal
actions taken against the Company are without merit and the Company intends to vigorously defend itself in these
cases. Management is of the opinion that the ultimate resolution of any ongoing litigation and related matters,
individually or in the aggregate, will not have a material adverse effect on the Company’s condensed consolidated
financial position, results of operations, or cash flows.
On July 23, 2026, a putative securities class action was filed in the U.S. District Court for the Southern District
of New York against the Company, certain of its current and former officers and directors, and the underwriters of
the Company's IPO. The complaint asserts claims under Sections 11 and 15 of the Securities Act and Sections 10(b)
and 20(a) of the Exchange Act and Rule 10b-5 promulgated thereunder. The complaint generally alleges that certain
of the Company's public disclosures, including disclosures contained in the registration statement for the Company's
IPO and subsequent public statements, were materially false or misleading or omitted material information
concerning certain related-party transactions and related matters. The complaint seeks, among other relief,
compensatory damages, interest, attorneys' fees and costs, and other unspecified relief. The Company believes these
claims are without merit and intends to defend against the action vigorously. This litigation is in its preliminary
stages, and no defendant has yet filed a responsive pleading. Because the matter is at an early stage, the Company
cannot reasonably estimate a possible loss or range of loss, if any, associated with this proceeding.
