Rule 10b5-1 Trading Arrangement
During the six months ended June 30, 2026, director or officer of the Company adopted or terminated a “Rule 10b5-1 trading arrangement” or “non-Rule 10b5-1 trading arrangement,” as each term is defined in Item 408(a) of Regulation S-K.
Item 5.02 of Form 8-K Compensatory Arrangements of Certain Officers
We are providing the following disclosures in lieu of filing a Current Report on Form 8-K relating to Item 5.02 (Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers):
Salary Increase for Chief Financial Officer
On June 9, 2026, the Compensation Committee of the Board approved, and on August 12, 2026, the Board approved and ratified, an increase in the annual base salary of Natalie Russell, the Company's Chief Financial Officer, from $250,000 to $300,000, effective as of August 1, 2026. A copy of the Amended and Restated Offer Letter is filed as Exhibit 10.3. Ms. Russell remains eligible for an annual performance bonus with a target of 20% of her base salary, and her other compensation arrangements remain unchanged.
The foregoing disclosures are being made in this Quarterly Report on Form 10-Q in lieu of filing a Current Report on Form 8-K pursuant to Item 5.02(e) of Form 8-K.
