Nature of Operations	Note 1 – Nature of Operations PDS Biotechnology Corporation, a Delaware corporation (the “Company” or “PDS Biotech”), is a clinical-stage biotechnology company focused on developing PDS0301 (formerly PDS01ADC), a tumor-targeted IL-12 immunocytokine designed to modify the tumor microenvironment and enhance the activity and durability of anti-cancer therapies. The Company’s current development strategy prioritizes PDS0301, including its development in colorectal cancer and evaluation in other combinations and as a monotherapy. The Company also develops its proprietary Versamune® platform for treatments in oncology and Infectimune® for treatments in infectious diseases. The most advanced Versamune® drug candidate, PDS0101, has been evaluated in multiple clinical trials with promising results, and the Company seeks to further the development of PDS0101 through strategic partnerships. In August 2026, the Company discontinued its Phase 3 trial with PDS0101 in HPV16-positive recurrent/metastatic head and neck cancer.
