Retirement Plan Retirement Plan
In 2022, the Company began participating, through its Professional Employer Organization (“PEO”), in a defined contribution 401(k) plan (the “401(k) Plan”) for the benefit of its employees. All of the full-time employees of the Company were eligible to participate in the 401(k) Plan which permitted employees to make voluntary contributions up to the dollar limit allowed under the Internal Revenue Code. Beginning in January 2022, the 401(k) Plan also provided for matching contributions as defined by the Company of up to a combined total of 3% of an employee’s eligible annual compensation. The 401(k) Plan was sponsored and administered by the PEO.
As of May 31, 2026, the Company terminated its relationship with the PEO. In June 2026, the Company approved the Alto Neuroscience 401(k) plan (the “Alto 401(k) Plan”) which the Company directly administers.
Beginning in January 2022, the 401(k) Plan, and beginning May 31, 2026, the Alto 401(k) Plan, provided for matching contributions as defined by the Company of up to 3% of an employee’s eligible annual compensation. During the six months ended June 30, 2026 and 2025, the Company contributed $0.2 million and $0.3 million, respectively, to the 401(k) Plan. During the six months ended June 30, 2026 the Company contributed less than $0.1 million to the Alto 401(k) Plan.
