| Material Terms of Trading Arrangement | On July 16, 2026, Ms. Grafton adopted two Rule 10b5-1 trading arrangements intended to satisfy the affirmative defense of Rule 10b5-1(c) under the Exchange Act. The first trading arrangement provides for the sale of up to 9,357 shares of the Company’s common stock pursuant to a one-time market order on March 1, 2027. The second trading arrangement provides for the sale of up to 6,077 shares of the Company’s common stock pursuant to a one-time market order on June 1, 2027. Each trading arrangement has a of one year from the effective date and will automatically terminate upon the earlier of (i) the sale of the maximum shares subject to the trading arrangement, (ii) twelve months from the effective date of the instructions without all of the securities having been sold, or (iii) the occurrence of certain other termination events specified in the trading arrangement. |

Ms. Grafton’s trading arrangement provided for the sale of up to 15,511 shares of the Company’s common stock pursuant to a one-time market order on May 15, 2026. Such trading arrangement automatically terminated on May 18, 2026 upon the sale of the maximum shares subject to the trading arrangement. |
