Note 16 - Commitments and Contingencies
The Company has entered into certain contracts to receive consulting and other services that represent unconditional purchase obligations to purchase goods or services that are enforceable and legally binding. Purchase commitments exclude agreements that are cancellable without penalty and unconditional purchase commitments with a remaining term of one year or less. As of June 30, 2026, future payments related to non-cancelable commitments under these contracts are due as follows: $3.6 million (remaining six months of 2026), $6.2 million (2027), and $0.5 million (2028).
Litigation
In October 2025, a putative class action was filed against the Company in the United States District Court for the Northern District of California. The plaintiffs subsequently filed an amended complaint alleging copyright infringement in connection with certain large language models and datasets. The amended complaint seeks statutory and other damages, declaratory and equitable relief, attorneys’ fees, and costs. The Company filed an answer denying the claims and intends to vigorously defend the action. The Company is unable to estimate any reasonably possible loss, or range of loss, with respect to this matter at this time. It is reasonably possible that the Company’s assessment could change in the near term as the matter develops. Legal defense costs are expensed as incurred.
In the ordinary course of business, the Company may be subject from time to time to various proceedings, lawsuits, disputes, or claims. Although the Company cannot predict with assurance the outcome of any litigation, it does not believe there are currently any such actions that, if resolved unfavorably, would have a material impact on the Company’s financial condition, results of operations, or cash flows.
