Subsequent Events In preparing these consolidated financial statements, the Company has evaluated events and transactions for potential recognition or disclosure through the date of issuance. There are no subsequent events to disclose except for the following: The Company received proceeds from the issuance of Common Shares pursuant to the Public Offering as set forth in the table below:
On July 2, 2026, the Company amended the Adviser Revolver to, among other things, extend the maturity date to July 3, 2029 from July 3, 2026. The other material terms of the Adviser Revolver were unchanged. The Company received shareholder requests to repurchase approximately 4.8% of Common Shares outstanding as of the March 31, 2026 Determination Date for the tender offer that commenced on June 29, 2026. Effective July 29, 2026, the Company accepted these requests, repurchasing 9,042,171 Common Shares. On July 30, 2026, the Company issued 341,716 Class I Shares and 31,212 Class S Shares through the DRIP. On July 31, 2026, the Company entered into an amended and restated distribution reinvestment plan, effective as of July 31, 2026 (the “Amended and Restated DRIP”), which amends and restates in its entirety the DRIP. The Amended and Restated DRIP, among other things, clarifies that in the event a participant in the Amended and Restated DRIP (a “Participant”) elects to tender a portion of its Shares, the Participant will remain a Participant in the Amended and Restated DRIP with respect to its Shares that were not repurchased. The Board declared gross distributions to Class I and Class S shareholders of record as set forth in the table below:
