3. INTANGIBLE ASSETS

 

License Agreements

Our intangible assets related to license agreements are subject to amortization and are amortized using the straight-line method over their estimated useful life.

We acquired license and supply agreements in relation to cytisinicline upon the acquisition of Extab, on May 18, 2015. The agreements were determined to have a fair value of $3.1 million with an estimated useful life of 14 years.

For the three and six months ended June 30, 2026 we recorded license agreement amortization expense of $0.1 million and $0.1 million, respectively. For the three and six months ended June 30, 2025 we recorded license agreement amortization expense of $0.1 million and $0.1 million, respectively. Other Intangible Assets — Domain Name Defensive Intangible Assets

 

We acquire internet domain names to prevent their use by competitors and to protect our brand from third-party use. The domain names are not actively used in our operations. Accordingly, the asset has been classified as a defensive intangible asset in accordance with ASC 350-30.

 

Although we have no current plan to actively use the domains and the underlying registrations are indefinitely renewable, the assets do

not qualify for an indefinite useful life. We estimated a useful life of 14 years based on the expected period over which the domains' defensive values are expected to continue and indirectly benefit us. The assets are amortized on a straight-line basis over this period.

Intangible Assets Impairment Analysis

 

We evaluate the carrying amount of intangible assets periodically by taking into account events or circumstances that may warrant revised estimates of useful life or that indicate the asset may be impaired. We conducted an analysis of potential impairment indicators for long lived assets, including the license and supply agreements for the active pharmaceutical ingredient cytisinicline and Domain Name Defensive Intangible Assets, and concluded that there were no indicators of impairment identified as of June 30, 2026.
