Items 1-9 and 11.

This Final Amendment relates to the Issuer Tender Offer Statement on Schedule TO (the “Statement”) originally filed with the Securities and Exchange Commission on May 15, 2026 by Adams Street Private Equity Navigator Fund LLC (the “Fund”) in connection with an offer (the “Offer”) by the Fund to purchase up to 5% of the Fund’s shares of limited liability company interests (including fractions thereof) (“Shares”) outstanding as of March 31, 2026 (or approximately $28,641,572, or approximately 2,679,703 Shares) on the terms and subject to the conditions set out in the Offer to Purchase and the related Letter of Transmittal. Copies of the Offer to Purchase and the Letter of Transmittal were previously filed as Exhibits (a)(1)(ii) and (a)(1)(iii) to the Statement.

This is the Final Amendment to the Statement and is being filed to report the results of the Offer. Capitalized terms not otherwise defined herein shall have the meanings ascribed to them in the Offer to Purchase.

The following information is furnished pursuant to Rule 13e-4(c)(4) under the Securities Exchange Act of 1934, as amended (the “Exchange Act”):

The Offer expired at 12:00 midnight, Eastern Time, on June 12, 2026.

30,542.40 Class I Shares were validly tendered and not withdrawn prior to the expiration of the Offer. The Fund accepted for purchase 100% of the Class I Shares that were validly tendered and not withdrawn prior to the expiration of the Offer, and paid for 100% of the Class I Shares tendered, in accordance with the terms of the Offer. No Class D, Class M or Class S Shares were validly tendered prior to the expiration of the Offer.

The net asset value of the Class I Shares tendered pursuant to the Offer was calculated as of June 30, 2026 in the amount of $346,870.04.

Except as specifically provided herein, the information contained in the Statement, Offer to Purchase and the related Letter of Transmittal remains unchanged and this Final Amendment does not modify any of the information previously reported.
