Note 16 – Commitments and Contingencies

Claims and Legal Proceedings

The Company is, and from time to time may be, subject to various claims and legal proceedings which arise in the ordinary course of business. The Company accrues liabilities for loss contingencies when it is probable that a liability has been incurred and the amount of the loss can be reasonably estimated.

The Company also maintains insurance coverage for certain matters, including employment practices and other fiduciary liabilities. Insurance recoveries are recognized separately from the related loss contingency when recovery

is deemed probable and are not offset against the related accrued liability in the accompanying condensed consolidated balance sheets.

As of June 30, 2026, the Company had accrued an estimated loss of $8.0 million associated with legal matters for which management concluded that a loss was probable and reasonably estimable. The related accrued liability is included within accrued expenses, and the corresponding insurance recovery receivable is included within prepaid expenses and other current assets, in the accompanying condensed consolidated balance sheets. The Company expects to recover substantially all of the estimated loss under its applicable insurance coverage, subject to the terms, conditions and deductible of the insurance policy. Based on the information currently available, management does not believe that the ultimate resolution of these matters will have a material adverse effect on the Company’s condensed consolidated financial position, results of operations or cash flows.

Other than the matters described above, in the opinion of management, there are no pending legal matters that are likely to have a material adverse effect on the Company’s condensed consolidated financial position, results of operations or cash flows.
