NOTE 3 — INITIAL PUBLIC OFFERING

In the Initial Public Offering on February 9, 2026, the Company sold 23,000,000 Public Units, which included the full exercise by the Underwriters of their Over-Allotment Option of 3,000,000 Public Units at a purchase price of $10.00 per Public Unit, generating gross proceeds to the Company of $230,000,000. Each Public Unit consists of one Public Share and one-third of one Public Warrant.
