Item 5.02Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 6, 2026, Mr. Gary S. Gladstein notified the Board of Directors (the “Board”) of Mueller Industries, Inc. (the “Company”) that he will retire from the Board effective December 31, 2026. Mr. Gladstein previously served as a member of the Board from 1990 to 1994 and then rejoined the Board in 2000. He later held the positions of Chairman of the Board from 2013 to 2015 and Lead Independent Director from 2016 to 2018.

Item 8.01Other Events.

On August 6, 2026 the Registrant issued a press release announcing that its Board has declared a regular quarterly cash dividend of 17.5 cents per share on its common stock.  The dividend will be paid September 18, 2026 to shareholders of record on September 4, 2026.  A copy of the press release announcing the payment and record dates is attached as Exhibit 99.1.
