CERTIFICATE OF CORRECTION

TO CERTIFICATE OF ELIMINATION

OF

SONIDA SENIOR LIVING, INC.

Sonida Senior Living, Inc. (the “Corporation”), a corporation organized and existing under and by virtue of the General Corporation Law of the State of Delaware, DOES HEREBY CERTIFY:

1. The name of the Corporation is Sonida Senior Living, Inc.

2. A Certificate of Elimination of the Corporation was filed with the Secretary of State of the State of Delaware (the “Secretary of State”) on March 11, 2026 (the “Certificate”), and the Certificate requires correction as permitted by subsection (f) of Section 103 of the General Corporation Law of the State of Delaware.

3. The inaccuracy or defect of the Certificate to be corrected hereby is that the Certificate constitutes an inaccurate record of certain of the actions referred to therein due to the inaccuracy of the statement in the Certificate that no shares of Series A Convertible Preferred Stock, par value $0.01 per share, were outstanding as of the time the Certificate was filed.

4. The Certificate is hereby corrected as follows:

A. The text of Article SECOND of the Certificate is hereby deleted in its entirety and replaced with the following: “[RESERVED].”

B. The text of Article FOURTH of the Certificate is hereby deleted in its entirety and replaced with the following: “[RESERVED].”

C. The text of Article FIFTH is hereby deleted and replaced with the following: “That in accordance with the provisions of Section 141 of the General Corporation Law of the State of Delaware, the Company’s Amended and Restated Certificate of Incorporation, as amended, is hereby further amended to eliminate all matters set forth in the Certificate of Designations with respect to the Series A Junior Participating Preferred Stock.”
