TO THE CERTIFICATE OF AMENDMENT TO CERTIFICATE OF

DESIGNATION, PREFERENCES AND RIGHTS

OF SERIES A CONVERTIBLE PREFERRED STOCK, PAR VALUE $0.01

OF

SONIDA SENIOR LIVING, INC.

Sonida Senior Living, Inc. (the “Corporation”), a corporation organized and existing under and by virtue of the General Corporation Law of the State of Delaware, DOES HEREBY CERTIFY:

1. The name of the Corporation is Sonida Senior Living, Inc.

2. A Certificate of Amendment to Certificate of Designation, Preferences and Rights of Series A Convertible Preferred Stock, par value $0.01, of the Corporation was filed with the Secretary of State of the State of Delaware (the “Secretary of State”) on March 11, 2026 (the “Certificate”), and the Certificate requires correction as permitted by subsection (f) of Section 103 of the General Corporation Law of the State of Delaware.

3. The inaccuracy or defect of the Certificate to be corrected hereby is that the Certificate was incorrectly filed and is an inaccurate record of the action referred to therein because the amendment set forth in the Certificate was not duly authorized in accordance with Delaware law.

4. The Certificate should not have been filed with the Secretary of State and is therefore null and void and of no effect.
