On August 3, 2026, Gayatri Narayan was notified that she will be separated from her position as President, Technology and Digital Solutions of Builders FirstSource, Inc. (the “Company”) effective August 14, 2026. In connection with her separation, and subject to her execution and non-revocation of a separation agreement and general release of claims in favor of the Company, Ms. Narayan will be entitled to the severance payments and benefits provided under the Builders FirstSource, Inc. Executive and Key Employee Severance Plan (the “Severance Plan”), which is filed as Exhibit 10.34 to the Company’s Annual Report on Form 10-K filed with the Securities and Exchange Commission on February 28, 2023.
Ms. Narayan’s departure was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
