Item 3.02 Unregistered Sales of Equity Securities.
On July 1, 2026, Fidelity Core Real Estate Fund (the “Company”), pursuant to the Company’s distribution reinvestment plan, issued 288,534 common shares of beneficial interest to accredited investors for an aggregate purchase price of $3.3 million.
On June 1, 2026, July 1, 2026, and August 3, 2026, the Company issued 646,308, 566,198, and 650,124 common shares of beneficial interest, respectively, to accredited investors for aggregate purchase prices of $7.5 million, $6.6 million, and $7.5 million, respectively.
The offer and sale of these common shares of beneficial interest was exempt from the registration provisions of the Securities Act of 1933, as amended, pursuant to Section 4(a)(2) thereof and Regulation D promulgated thereunder.
