| Material Terms of Trading Arrangement | On June 4, 2026, Todd Franklin Watanabe, our Chief Executive Officer, terminated a Rule 10b5-1 trading plan, which plan was previously adopted on March 13, 2026 and intended to satisfy the affirmative defense of Rule 10b5-1(c) under the Exchange Act. The plan provided for the potential sale of up to 325,000 shares of common stock held by Mr. Watanabe between June 12, 2026 and June 11, 2027. Prior to its termination, no shares were sold under the plan. On June 5, 2026, Todd Franklin Watanabe, our Chief Executive Officer, entered into a Rule 10b5-1 trading plan, intended to satisfy the affirmative defense of Rule 10b5-1(c) under the Exchange Act. The plan provided for the potential exercise and sale of up to 325,000 options between August 27, 2026 and August 31, 2027.
