Item 8.01 Other Events

 

On March 28, 2026, Banco Santander, S.A. (“Banco Santander”) and Santander Holdings USA, Inc. submitted an application to the Board of Governors of the Federal Reserve System requesting approval to acquire Webster Financial Corporation (“Webster”) and its subsidiaries (the “Transaction”). On August 4, 2026, Banco Santander and Webster issued a joint press release announcing that, after having received approvals from the Office of the Comptroller of the Currency and the European Central Bank on June 12, 2026 and July 21, 2026, respectively, on August 4, 2026, the Board of Governors of the Federal Reserve System approved the Transaction.

 

The closing of the Transaction is expected to occur on August 20, 2026. A copy of the joint press release is attached as Exhibit 99.1 hereto and is incorporated herein by reference.
