Item 8.01 Other Events.
The Board of Directors of Avidia Bancorp, Inc. has authorized a stock buyback plan, effective August 4, 2026, under which the Company may repurchase up to $30 million in value of its common stock. Repurchases may be made from time to time on the open market and in privately negotiated transactions, and through the use of trading plans intended to qualify under Rule 10b5-1 under the Exchange Act. The extent to which the Company repurchases shares and the size and timing of these repurchases will depend on a variety of factors, including pricing, market conditions, and the Company’s capital position. The stock buyback plan is scheduled to expire on July 31, 2027 and may be modified, suspended, or discontinued without prior notice at any time.
