Item 5.07 Submission of Matters to a Vote of Security Holders.

On July 30, 2026, PGIM Private Credit Fund (the “Fund”) held its annual meeting of shareholders (the “Annual Meeting”). At the Annual Meeting, shareholders considered two proposals as described in the Fund’s proxy statement filed on July 8, 2026. At the close of business on the record date, June 26, 2026, the Fund had 11,817,444.507 common shares of beneficial interest outstanding and entitled to vote at the Annual Meeting. The final results of the voting on the matters submitted to shareholders at the Annual Meeting are set forth below.

 

Proposal 1:Shareholders elected the Class III Trustee to the Fund’s Board of Trustees, to serve until the 2029 annual meeting of shareholders and until her successor is duly elected and qualified. The following votes were taken in connection with this proposal:
