Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(b) On July 27, 2026, the Board of Directors (the “Board”) of Wabash National Corporation (the “Company”) accepted the resignation of Sudhanshu Priyadarshi as a director of the Company with the acceptance of such resignation to be effective on August 1, 2026 (the “Resignation”). The Resignation was not due to a disagreement with the Company or the Board.
