(the “Company”) issued supplemental disclosure relating to the Company’s proxy statement, dated July 2, 2026 (the “Proxy Statement”), furnished to the Securities and Exchange Commission (the “SEC”) as an exhibit to the Company’s Report on Form 6-K on July 2, 2026, in connection with the Company’s 2026 Annual General Meeting of Shareholders to be held on August 6, 2026 (the “Meeting”). The supplemental disclosure is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

The supplemental disclosure does not amend or modify any of the proposals to be voted on at the Meeting nor the date of the Meeting or its record date, and no action is required by shareholders who have already voted.
